These Terms & Conditions (“Terms”) govern access to and use of the Axivoy TMS platform, websites, and related services owned and operated by Tooli Logistics LLC (“Tooli Logistics LLC,” “Axivoy,” “we,” “us,” or “our”), including email and SMS communications and optional bank-account linking for receivables. By creating an account, accessing Axivoy, or opting in to SMS, you agree to these Terms.
SMS program terms
Tooli Logistics LLC may offer an Axivoy SMS program for transactional and operational messages related to your account and trucking operations. This program is not used for marketing, advertising, or promotional blasts.
Opt-in: You may consent by providing your mobile number in the Axivoy web or mobile experience (for example during account setup, invite acceptance, or profile update) and confirming consent (such as checking a consent box), and/or by texting START to Axivoy’s designated SMS number.
Message types may include account or security notices, driver invitations and onboarding, schedule or home-time updates, load and stop status notifications, detention or exception alerts, and similar operational reminders.
Message frequency varies with account and operational activity.
Message and data rates may apply.
Opt-out: Reply STOP to cancel. For help, reply HELP or email support@axivoy.ai. After you opt out, you may receive a one-time confirmation. You can opt back in later by following an available opt-in method.
Mobile information is handled as described in our Privacy Policy, including that we do not sell or share mobile numbers with third parties or affiliates for their marketing purposes.
Supported carriers may vary. Tooli Logistics LLC and carriers are not liable for delayed or undelivered messages.
The service
Tooli Logistics LLC provides Axivoy software for trucking operations (including dispatch, loads, documents, receivables, and related workflows). Features may change over time. Some capabilities depend on tenant configuration, integrations, and plan entitlements.
Accounts and acceptable use
- You must provide accurate information and keep credentials secure
- You may use Axivoy only for lawful business purposes
- You may not attempt to disrupt the service, probe systems without authorization, or misuse SMS/email channels
- Tenant administrators are responsible for their users’ access and for content entered into their tenant
- Only authorized administrators may link bank accounts; linking constitutes consent to process bank feed data for AR matching as described in the Privacy Policy
Customer data
As between Axivoy and a customer organization, the organization owns its operational data submitted to the service. Axivoy processes that data to provide the service. Each party’s confidentiality and data processing obligations may also be set out in a separate agreement or order form.
Third-party services
Axivoy may integrate with third-party providers (for example telematics, email, SMS, maps, accounting, or bank linking via Plaid). Those services are subject to their own terms. Axivoy is not responsible for third-party outages or policies.
Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLI LOGISTICS LLC DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLI LOGISTICS LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. TOOLI LOGISTICS LLC’S TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY THE APPLICABLE CUSTOMER TO TOOLI LOGISTICS LLC FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
Suspension and termination
We may suspend or terminate access for violations of these Terms, non-payment, security risk, or legal requirements. You may stop using the service at any time subject to any separate subscription agreement.
Changes
We may update these Terms by posting a revised version with a new policy version. Continued use after the effective date constitutes acceptance, except where a separate signed agreement says otherwise.
